PNCCM, a broker-dealer affiliate of PNC Bank, may earn origination fees from the Steel City Vehicles associated with sourcing loans for such vehicles. In addition, PNCCM and TCW have entered into a referral arrangement for the Steel City Vehicles under which PNCCM may earn cash compensation from TCW in connection with such referral activities.  In connection with such origination and placement agent activities, PNCCM may make statements that constitute endorsements or testimonials under applicable regulations.
